These Terms & Conditions govern your access to and use of VEHM. Please read them carefully before creating an account, purchasing credits or a subscription, or using the Service.
1. Agreement to these Terms
VEHM is operated by Digital Communique, Auckland, New Zealand. In these Terms, “VEHM”, “we”, “us”, and “our” refer to Digital Communique. “You” means the individual or organisation using the Service.
By accessing or using VEHM, creating an account, or purchasing credits or a subscription, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and legally capable of entering into a binding agreement. If you use VEHM for a company or other organisation, you confirm that you have authority to bind that organisation, and “you” includes that organisation.
2. The Service
VEHM is an AI-assisted creation service that can turn ideas or scripts into whiteboard explainers and generated motion clips. Features may include script generation and editing, scene planning, image and video generation, text-to-speech, project storage, browser-based MP4 export, credits, subscriptions, promotions, and referrals.
Feature descriptions, examples, estimated generation times, credit estimates, and sample outputs are illustrative. Results vary with your input, selected models, provider availability, content-safety systems, and technical conditions. We do not guarantee that any output will match a prompt exactly.
3. Accounts and security
- You must provide accurate information and keep it reasonably current.
- You are responsible for all activity under your account and for protecting your login credentials.
- You must notify us promptly at support@vehm.studio if you suspect unauthorised access.
- You may not sell, rent, share, transfer, or create accounts by automated means without our written permission.
- We may require verification, reset credentials, or restrict access when reasonably necessary to protect you, VEHM, or other users.
4. Your content and AI-generated output
Your input
You retain ownership of content you submit to VEHM. You grant Digital Communique a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, adapt, and process that content only as reasonably necessary to provide, secure, support, and improve the Service and to comply with law.
You confirm that you own or have permission to use and submit your ideas, scripts, logos, images, and other materials, and that our processing of them as described in these Terms will not violate law or another person’s rights.
Generated output
As between you and Digital Communique, and to the extent permitted by applicable law and third-party provider terms, you may use output generated for you for personal or commercial purposes. AI output may not qualify for copyright or other intellectual-property protection, may not be unique, and may resemble material generated for others.
You are solely responsible for reviewing output for accuracy, suitability, safety, legal compliance, and possible infringement before publishing or distributing it. VEHM output is not legal, medical, financial, or other professional advice.
5. Acceptable use
You must not use VEHM to create, upload, generate, or distribute material that:
- Is unlawful, fraudulent, defamatory, threatening, harassing, or designed to facilitate wrongdoing.
- Infringes intellectual property, privacy, publicity, confidentiality, or other rights.
- Contains child sexual abuse material, sexual exploitation of minors, non-consensual intimate material, or unlawful sexually explicit content.
- Promotes violence, terrorism, self-harm, hateful conduct, or illegal discrimination.
- Impersonates another person deceptively or materially misrepresents AI-generated media as authentic.
- Contains malware, attempts to gain unauthorised access, or interferes with the Service or other users.
- Attempts to bypass safety controls, rate limits, payment controls, or credit accounting.
You must comply with applicable laws and the usage policies of our AI providers. We may reject prompts, remove content, preserve evidence, or suspend accounts when we reasonably believe this section has been breached.
6. Payments, prices, and credits
Purchases
Prices and included credits are shown before purchase. Unless stated otherwise, prices are in United States dollars and may exclude taxes or currency-conversion charges. Payments are processed by Stripe, and its payment terms and privacy practices also apply.
Credits
- Credits are prepaid units used to access eligible generation features.
- Credits are not money, stored value, securities, or property and have no cash value.
- Credits cannot be transferred, resold, exchanged, or redeemed for cash.
- Credit costs may vary by feature, model, duration, resolution, or provider cost and will be displayed or estimated in the Service where practicable.
- If no expiry is disclosed at purchase, purchased credits do not expire merely because a subscription billing cycle ends. Legal, promotional, or bonus-credit conditions may differ where clearly stated.
Promotions and referrals
Promotions, referral bonuses, and introductory offers may have eligibility rules, limits, expiry dates, and anti-abuse controls. They may be changed or withdrawn prospectively. We may reverse rewards obtained through duplicate accounts, self-referrals, fraud, chargebacks, or other abuse.
7. Subscriptions, renewal, and cancellation
A paid Starter subscription renews automatically at the billing interval selected at checkout until cancelled. By subscribing, you authorise Stripe to charge the applicable recurring price and taxes using your selected payment method. The checkout page controls if it differs from a general description elsewhere.
You can manage or cancel an active subscription through the Stripe customer portal linked from VEHM’s billing page. Unless the checkout or applicable law says otherwise, cancellation takes effect at the end of the current paid billing period. You retain access to the paid plan until then.
We may change subscription prices or included features prospectively. We will provide notice required by law before a material price change takes effect for a future renewal.
8. Refunds and failed generation
Your rights under mandatory consumer law are not limited by these Terms. Subject to those rights and any refund terms shown at checkout, credit-pack and subscription payments are generally final once credits have been granted or used.
When a generation operation fails before delivering the relevant result, VEHM may automatically restore the associated credits or we may adjust them after investigation. Dissatisfaction with the creative style, accuracy, or subjective quality of a successfully generated AI output does not by itself guarantee a refund. Contact support@vehm.studio if you believe you were charged incorrectly.
9. Our intellectual property
VEHM and its software, interface, branding, design, documentation, templates, and underlying technology are owned by or licensed to Digital Communique. Except for the limited right to use the Service under these Terms, no rights are transferred to you. You may not copy, reverse engineer, scrape, resell, sublicense, or create a competing service from protected parts of VEHM except where law expressly permits.
If you provide feedback, you permit us to use it without restriction or compensation, provided we do not identify you publicly without permission.
10. Third-party services
VEHM relies on third-party services including Stripe, Vercel, database infrastructure, OpenAI, Google, Resend, Cloudflare, PostHog, and jsDelivr for delivery of the browser-based export module. Their systems, terms, availability, and processing practices are outside our complete control. We are not responsible for third-party services beyond what applicable law requires.
Links to third-party websites do not imply endorsement. You should review their applicable terms and privacy policies before using them.
11. Availability and changes to the Service
We aim to keep VEHM available and reliable but do not promise uninterrupted or error-free operation. AI providers can impose outages, model changes, quotas, safety restrictions, or latency outside our control. We may maintain, update, restrict, replace, or discontinue features where reasonably necessary.
You are responsible for downloading any output you wish to keep. We may introduce reasonable storage or usage limits with notice where practicable. We are not a permanent archive or backup service.
12. Suspension and termination
You may stop using VEHM at any time and may request account deletion by contacting us. We may suspend or terminate access immediately where reasonably necessary for security, fraud prevention, legal compliance, non-payment, material breach, or protection of the Service or others.
On termination, your right to use the Service ends. Sections that by their nature should survive—including payment obligations, intellectual property, disclaimers, liability limits, and dispute provisions—remain in effect. Treatment of unused paid credits remains subject to mandatory law and the reason for termination.
13. Disclaimers and limitation of liability
To the maximum extent permitted by law, VEHM is provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes warranties, guarantees, or remedies that cannot lawfully be excluded, including rights that may apply under New Zealand consumer law.
To the maximum extent permitted by law, Digital Communique is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, opportunity, goodwill, or data, arising from VEHM or AI-generated output.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount you paid to Digital Communique for VEHM during the twelve months immediately before the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited.
If you use VEHM for business purposes, you will indemnify Digital Communique against third-party claims and reasonable costs arising from your unlawful content, infringement of third-party rights, or material breach of these Terms, except to the extent caused by our breach or negligence.
14. Governing law and disputes
These Terms are governed by the laws of New Zealand, without regard to conflict-of-law rules. Courts in New Zealand have non-exclusive jurisdiction. Mandatory consumer rights and rights to bring claims in your home jurisdiction are not affected where applicable.
Before filing a formal claim, please contact support@vehm.studio and give us a reasonable opportunity to resolve the issue informally.
15. Changes to these Terms
We may update these Terms as VEHM or legal requirements change. We will post the updated Terms here and revise the “Last updated” date. For material changes, we may provide additional notice through the Service or by email. Your continued use after the effective date constitutes acceptance where permitted by law.
